Terms & Conditions

Please read these Terms carefully before using India Hospitality Hub. They form a legally binding agreement between you and IHH.

Legally Binding Agreement

By accessing, registering on or using indiahospitalityhub.com, you confirm that you have read, understood and agree to be legally bound by these Terms & Conditions and our Privacy Policy. If you do not agree, you must immediately stop using this platform. These Terms constitute a valid contract under the Indian Contract Act, 1872.

1 Acceptance of Terms

These Terms & Conditions ("Terms") govern your use of the India Hospitality Hub platform ("IHH", "Platform", "Website") accessible at indiahospitalityhub.com.

By using this Platform in any way — including browsing, registering, listing products, submitting enquiries or making payments — you ("User", "you") agree to these Terms. If you are using the Platform on behalf of a company or business entity, you represent that you have the authority to bind that entity to these Terms.

These Terms are effective from the date of your first use of the Platform and remain in force until terminated in accordance with Section 14.

2 Definitions

"Platform"
The website indiahospitalityhub.com and all associated services.
"IHH" / "We"
India Hospitality Hub, the operator of this Platform.
"Seller"
A registered supplier, manufacturer, wholesaler, trader or distributor who lists products on the Platform.
"Buyer"
Any hotel, resort, restaurant, guest house or individual who browses the Platform or submits an enquiry.
"User"
Any person — Seller or Buyer — who accesses or uses the Platform.
"Listing"
A product or service posted on the Platform by a Seller.
"Lead"
An OTP-verified buyer enquiry delivered to a Seller.
"Subscription"
A paid plan purchased by a Seller to access Platform features and receive Leads.
"Credits"
Lead credits allocated under a Subscription plan, deducted per Lead received.
"Content"
All text, images, descriptions, data and materials submitted to the Platform by Users.

3 Nature of the Platform — Intermediary Status

IHH is a technology intermediary platform as defined under Section 2(1)(w) of the Information Technology Act, 2000 and the IT (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021.

3.1 IHH provides a digital marketplace for Sellers to list products and for Buyers to discover and enquire about those products. IHH does not buy, sell, manufacture, stock, inspect, ship or deliver any product listed on the Platform.

3.2 IHH is not an agent, broker, representative or guarantor of any Seller or Buyer. All transactions, negotiations, contracts, deliveries and payments are conducted directly and exclusively between the Buyer and the Seller.

3.3 IHH does not endorse, certify or guarantee the quality, safety, legality, accuracy or availability of any product listed on the Platform. Buyers must conduct their own independent due diligence before placing any order.

3.4 IHH is not responsible for any dispute, loss, damage, personal injury, fraud or breach of contract arising out of any transaction between a Buyer and a Seller.

3.5 Sellers are solely and fully responsible for their listings, product quality, pricing, delivery, GST compliance and all legal obligations arising from their business operations.

4 Eligibility

4.1 To use the Platform, you must be: (a) at least 18 years of age; (b) legally capable of entering into binding contracts under the Indian Contract Act, 1872; and (c) not barred from using the Platform under any applicable Indian law.

4.2 To register as a Seller, you must be a legitimate business entity or sole proprietor operating in India with a valid GST registration (where applicable) and PAN card.

4.3 By using the Platform, you represent and warrant that you meet all eligibility requirements. IHH reserves the right to verify your eligibility at any time and to suspend or terminate accounts that do not comply.

4.4 The Platform is intended for business-to-business (B2B) commercial use only. Personal, non-commercial use is outside the scope of this Platform.

5 User Accounts

5.1 Registration: Sellers must register with accurate, current and complete information. Providing false, misleading or incomplete information is a breach of these Terms and grounds for immediate account termination.

5.2 One Account Per Entity: Each business entity is permitted only one Seller account. Creating duplicate accounts is strictly prohibited and will result in permanent suspension of all associated accounts without refund.

5.3 Account Security: You are solely responsible for maintaining the confidentiality of your login credentials. You must immediately notify IHH at support@indiahospitalityhub.com of any unauthorised access to your account. IHH is not liable for any loss resulting from unauthorised use of your account due to your failure to maintain credential security.

5.4 Account Verification: IHH may require you to verify your identity, mobile number, email address or business documents at any time. Failure to complete verification within the specified timeframe may result in account suspension.

5.5 Non-Transferability: Seller accounts are personal to the registered entity and may not be sold, transferred or assigned to any other person or entity.

6 Seller Obligations & Representations

By registering as a Seller, you represent, warrant and agree that:

Legal Business
You are a legally registered business or sole proprietor operating in compliance with all applicable Indian laws including GST, Shops & Establishments Act and relevant trade laws.
Accurate Listings
All product information, images, prices, specifications and availability you submit are accurate, current and not misleading.
Your Own Products
You list only products that you manufacture, stock, wholesale or are authorised to sell. You do not list products on behalf of others without written authorisation.
GST Compliance
You will issue valid GST invoices for all transactions where applicable, and comply fully with the Goods and Services Tax Act, 2017.
Lead Response
You will make reasonable efforts to respond to verified buyer leads in a timely, professional and honest manner.
Document Accuracy
All identity and business documents submitted for verification are genuine, current and belong to your registered business entity.

Breach of any seller obligation may result in listing removal, account suspension, permanent ban and/or legal action as appropriate.

7 Buyer Obligations

7.1 Buyers must provide accurate information when submitting OTP-verified enquiries including their real name, valid mobile number and genuine business requirement.

7.2 Buyers acknowledge that IHH does not guarantee product quality, pricing, availability or delivery. Buyers must independently verify all information and conduct due diligence before placing any order or making any payment to a Seller.

7.3 Buyers must not submit fake, duplicate or spam enquiries. Misuse of the enquiry system — including submitting enquiries with no genuine purchase intent — is prohibited and may result in blocking of the buyer's mobile number from the Platform.

7.4 Buyers transact with Sellers entirely at their own risk. IHH strongly recommends: (a) requesting product samples before bulk orders; (b) insisting on GST-compliant invoices; (c) never making advance payments without a written agreement; and (d) verifying Seller credentials independently.

7.5 Buyers agree not to contact Sellers for purposes other than genuine product enquiries, and not to use Seller contact information obtained through IHH for unsolicited marketing or any unlawful purpose.

8 Product Listing Rules

All product listings on the Platform must comply with the following rules. IHH reserves the right to remove any non-compliant listing without prior notice.

Listings MUST:

  • Be relevant to the hotel/hospitality/HoReCa industry
  • Include accurate title, description and at least one real product image
  • Reflect products the Seller actually manufactures, stocks or trades
  • Comply with all applicable Indian laws and regulations
  • Display truthful pricing (indicative ranges are acceptable)
  • Be listed in the correct product category

Listings MUST NOT:

  • Use stolen, stock or misleading images claimed as originals
  • Contain false, exaggerated or unsubstantiated claims
  • Infringe any third-party trademark, copyright or IP right
  • Include prohibited, banned or counterfeit products
  • Feature contact details, external URLs or redirect links
  • Be duplicated across multiple listings to game search ranking

IHH may review and approve listings before publication. Approval does not constitute endorsement of product quality or legal compliance.

9 Prohibited Content & Conduct

The following are strictly prohibited on the Platform. Violations will result in immediate account termination and may be reported to relevant authorities:

Counterfeit Goods
Listing, selling or promoting fake, counterfeit or imitation products of any brand.
Illegal Products
Products banned, restricted or regulated under Indian law including the Drugs Act, Arms Act, Wildlife Protection Act or any other statute.
Identity Fraud
Impersonating another business, person or brand. Submitting forged or altered documents.
Automated Abuse
Using bots, scrapers or automated tools to access, extract data from or abuse the Platform.
Malicious Activity
Attempting to hack, disrupt, inject malware or compromise the Platform or other users' data.
Payment Fraud
Any attempt to deceive buyers or sellers in financial transactions including advance fee fraud.
IP Infringement
Uploading content — text or images — that infringes the intellectual property rights of any third party.
Defamation & Harassment
Posting defamatory, abusive, threatening or harassing content targeting any person or business.

10 Payments, Subscriptions & Billing

10.1 Subscription Fees: Access to Seller features requires a paid Subscription. All subscription fees are stated in Indian Rupees (INR) and are exclusive of GST (18%) unless otherwise stated. GST is charged additionally at the prevailing rate.

10.2 Payment Processing: Payments are processed securely by Razorpay. IHH does not store your full payment card details. Razorpay's own terms and privacy policy apply to payment processing.

10.3 Non-Refundable Policy: All subscription fees are strictly non-refundable once the subscription is activated. By purchasing a subscription, you explicitly acknowledge and agree to this no-refund policy. This applies regardless of usage, lead quality or any other factor.

10.4 Duplicate Payment Refunds: In the event of a confirmed technical error resulting in a duplicate charge, IHH will process a refund of the duplicate amount within 7–10 business days upon receipt of written proof. Contact: support@indiahospitalityhub.com

10.5 Lead Credits: Credits are allocated per subscription cycle. Unused credits expire at the end of the cycle and do not carry forward. Credits are non-transferable and have no cash value.

10.6 Price Changes: IHH reserves the right to revise subscription pricing at any time with a minimum of 30 days' advance notice to registered sellers via email. Continued use after the effective date constitutes acceptance of revised pricing.

10.7 Tax Invoices: GST-compliant invoices are issued for all subscription payments and are available in your seller dashboard. Sellers are responsible for their own GST compliance on product sales made through the Platform.

10.8 Failed Payments: IHH is not responsible for failed transactions due to issues with your bank, card or payment provider. Subscription activation is subject to successful payment confirmation.

11 Intellectual Property

11.1 IHH IP: The Platform — including its design, code, branding, logo, content, features, database structure and documentation — is the exclusive intellectual property of India Hospitality Hub and is protected under applicable Indian and international IP laws including the Copyright Act, 1957 and the Trade Marks Act, 1999. Unauthorised reproduction, distribution or use is prohibited.

11.2 Seller Content Licence: By submitting product listings, images or any content to the Platform, you grant IHH a non-exclusive, royalty-free, worldwide licence to display, reproduce, distribute and use that content for the purpose of operating and promoting the Platform. You retain ownership of your content.

11.3 Seller Warranties on Content: You warrant that all content you submit: (a) is your own original work or that you have full rights to use it; (b) does not infringe any third-party copyright, trademark, patent or other IP right; and (c) is not defamatory, obscene or unlawful. You will indemnify IHH against any third-party IP infringement claims arising from your content.

11.4 Takedown Requests: If you believe any content on the Platform infringes your intellectual property rights, please submit a takedown notice to legal@indiahospitalityhub.com with full details. IHH will act on valid notices as required under the IT Act 2000.

12 Disclaimer of Warranties & Limitation of Liability

PLEASE READ THIS SECTION CAREFULLY — IT LIMITS IHH'S LEGAL LIABILITY TO YOU.

12.1 No Warranties: THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND — EXPRESS, IMPLIED OR STATUTORY. IHH DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, SECURE OR FREE OF VIRUSES.

12.2 No Guarantee on Listings: IHH makes no representation or warranty regarding: (a) the accuracy, completeness or reliability of any product listing; (b) the quality, safety or legality of any product; (c) the ability of any Seller to complete a transaction; or (d) the creditworthiness of any Buyer or Seller.

12.3 Maximum Liability Cap: To the maximum extent permitted by Indian law, IHH's total aggregate liability to any User for any claim arising out of or in connection with the Platform shall not exceed the subscription fees actually paid by that User to IHH in the three months immediately preceding the claim. For Buyers (who pay no fees), IHH's maximum liability is ₹1,000 (One Thousand Rupees).

12.4 Excluded Damages: IHH shall not be liable for: (a) loss of profits, revenue, data or goodwill; (b) indirect, incidental, special or consequential damages; (c) damages arising from Buyer-Seller transactions; (d) losses from unauthorised account access; or (e) service interruptions due to maintenance, force majeure or third-party failures.

12.5 Force Majeure: IHH is not liable for delays or failures caused by events beyond our reasonable control including natural disasters, government actions, internet outages, power failures, pandemics or any other force majeure event.

13 Indemnification

You agree to indemnify, defend and hold harmless India Hospitality Hub, its officers, directors, employees, agents and representatives from and against any and all claims, demands, losses, damages, costs and expenses (including reasonable legal fees) arising out of or in connection with:

  • Your use or misuse of the Platform
  • Any product listing, content or information you submit to the Platform
  • Any transaction between you and another User
  • Your breach of these Terms or any applicable law
  • Any claim that your content infringes a third party's intellectual property rights
  • Any fraud, misrepresentation or illegal act committed by you
  • Your violation of any third party's rights

This indemnification obligation survives termination of your account and these Terms.

14 Suspension & Termination

14.1 By IHH: IHH may suspend or terminate your account and access to the Platform at any time, with or without prior notice, if: (a) you breach any provision of these Terms; (b) your conduct is determined by IHH to be harmful to other Users or the Platform; (c) required by law or court order; or (d) IHH decides to discontinue the Platform.

14.2 No Refund on Termination for Cause: If your account is terminated due to a breach of these Terms, no refund of any subscription fees or unused credits will be provided.

14.3 By You: You may terminate your seller account at any time by contacting support@indiahospitalityhub.com. Voluntary account termination does not entitle you to a refund of any subscription fees paid.

14.4 Effect of Termination: On termination: (a) your access to the Platform ceases; (b) your product listings are removed; (c) unused lead credits are forfeited; (d) data is retained as required by law (see Privacy Policy Section 6); (e) all accrued rights and obligations survive.

14.5 Survival: Sections 3 (Platform Nature), 11 (IP), 12 (Liability), 13 (Indemnification), 15 (Governing Law) and any accrued payment obligations survive termination of these Terms.

15 Dispute Resolution & Governing Law

15.1 Governing Law: These Terms and your use of the Platform are governed exclusively by the laws of the Republic of India. The United Nations Convention on Contracts for the International Sale of Goods (CISG) does not apply.

15.2 Jurisdiction Clause

Any dispute, claim or controversy arising out of or relating to these Terms, the Platform or your use thereof shall be subject to the exclusive jurisdiction of the competent courts located in New Delhi, India. By using this Platform, you irrevocably submit to this jurisdiction and waive any objection to proceedings in those courts.

15.3 Informal Resolution First: Before initiating any legal proceedings, the disputing party must provide IHH with written notice describing the dispute in detail and allow 30 days for an informal resolution attempt. Contact: legal@indiahospitalityhub.com

15.4 Buyer-Seller Disputes: IHH is not a party to any dispute between Buyers and Sellers. Such disputes must be resolved directly between the parties or through appropriate legal channels including consumer forums under the Consumer Protection Act, 2019 or civil courts as applicable.

15.5 Grievance Mechanism: For platform-related complaints, contact our Grievance Officer at grievance@indiahospitalityhub.com (response within 24 hours, resolution within 15 days as per IT Rules 2021).

16 Changes to These Terms

16.1 IHH reserves the right to modify these Terms at any time. When material changes are made, we will: (a) update the "Last Updated" date; (b) notify registered Sellers by email at least 7 days before the changes take effect; and (c) display a prominent notice on the Platform.

16.2 For non-material changes (e.g. formatting, clarifications that do not affect rights), notice may be given by updating this page only.

16.3 Continued use of the Platform after the effective date of revised Terms constitutes your acceptance. If you do not agree to revised Terms, you must stop using the Platform and may request account deletion.
